Please read these terms carefully before using IConnect. By accessing or using our platform, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the IConnect platform and website operated by IConnect ("we", "us", or "our"). By accessing or using our services, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or your organisation, and agree to be bound by them.
If you do not agree to these Terms, you must not use our services.
2. Description of Services
IConnect provides a unified business operations platform that consolidates operations management, team training, process mapping, workflow automation, and data management into a single system. The specific features and capabilities available to you depend on your subscription plan.
We reserve the right to modify, suspend, or discontinue any aspect of the services at any time. We will endeavour to provide reasonable notice of significant changes.
3. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access or security breach at [email protected]
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or where we suspect fraudulent, abusive, or unauthorised use.
4. Acceptable Use
You agree to use IConnect only for lawful purposes and in accordance with these Terms. You must not:
- Use the platform in any way that violates applicable Australian or international laws or regulations
- Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorised access to any part of the platform, its servers, or any connected systems
- Introduce viruses, malicious code, or any software intended to disrupt or damage the platform
- Use automated tools (scrapers, bots, crawlers) to access the platform without prior written consent
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Resell, sublicense, or redistribute access to the platform without written authorisation
- Use the platform to store or process data in violation of any person's privacy or intellectual property rights
5. Subscriptions and Payment
Access to IConnect is provided on a subscription basis. Pricing, billing frequency, and plan details are confirmed at the time of purchase or as set out in a separate agreement between IConnect and your organisation.
- Billing: Subscription fees are billed in advance on the agreed cycle (monthly or annually).
- Taxes: Prices are exclusive of GST and other applicable taxes unless stated otherwise. You are responsible for any applicable taxes in your jurisdiction.
- Late payment: We reserve the right to suspend access if payment is not received by the due date.
- Price changes: We will provide at least 30 days' notice of any pricing changes. Continued use after the notice period constitutes acceptance.
6. Cancellation and Refunds
You may cancel your subscription at any time by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
Fees paid are generally non-refundable except where required by law (including Australian Consumer Law) or as expressly stated in a separate agreement with your organisation.
7. Intellectual Property
All content, software, trademarks, logos, and materials made available through IConnect are owned by or licensed to us and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform or its content.
You retain ownership of all data, content, and information you submit to the platform ("Your Content"). By submitting Your Content, you grant IConnect a limited, non-exclusive licence to store, process, and display it solely as necessary to deliver the services.
8. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using IConnect, you consent to the data practices described therein.
For organisations using IConnect to manage employee or customer data, you are responsible for ensuring your use complies with applicable privacy laws and that appropriate consents are in place.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Availability and Uptime
We aim to maintain high availability of the IConnect platform. However, we do not guarantee uninterrupted access. Scheduled maintenance, unplanned outages, or circumstances beyond our control may cause temporary unavailability. We will endeavour to provide advance notice of planned downtime where possible.
11. Disclaimer of Warranties
To the extent permitted by law, IConnect is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be error-free, secure, or continuously available, or that it will meet your specific requirements.
Nothing in these Terms excludes or limits any consumer guarantee or right you have under the Australian Consumer Law that cannot lawfully be excluded.
12. Limitation of Liability
To the maximum extent permitted by applicable law, IConnect's total liability to you for any claim arising out of or relating to these Terms or the services shall not exceed the total fees paid by you to IConnect in the three months immediately preceding the event giving rise to the claim.
In no event shall IConnect be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold harmless IConnect, its officers, employees, and agents from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
14. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to access the platform ceases and we may delete Your Content after a reasonable retention period, unless otherwise required by law.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia. We encourage you to contact us first to resolve any dispute informally.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by emailing you or displaying a notice within the platform. Your continued use of IConnect after the effective date of any changes constitutes your acceptance of the revised Terms.
